1. Acceptance of Terms

Welcome to HumanixOS. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and HumanixOS.

2. Description of Service

HumanixOS is a multi-tenant software-as-a-service (SaaS) platform designed for nonprofit organizations to manage clients, services, staff, and data. Our platform includes features for client management, service tracking, data imports, reporting, and AI-powered assistance.

3. Account Registration

To use HumanixOS, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials
  • Promptly update your account information as needed
  • Accept responsibility for all activities that occur under your account

You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Acceptable Use

You agree not to use HumanixOS to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload, transmit, or distribute any malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the service
  • Use the service for any fraudulent, deceptive, or illegal purpose
  • Collect or harvest user information without consent
  • Impersonate any person or entity or misrepresent your affiliation
  • Reverse engineer, decompile, or attempt to extract the source code of our software

5. User Content and Data

You retain ownership of all data and content you submit to HumanixOS ("User Content"). By using our service, you grant us a limited license to:

  • Store, process, and display your User Content as necessary to provide the service
  • Create backups and maintain the security of your data
  • Generate anonymized, aggregated analytics to improve our services
  • Where your organization links to a funding partner, share anonymized, aggregate operational data and your organizational contact information with that partner, as described in the Funding Partner Data Sharing section below.

You are solely responsible for ensuring that your User Content does not violate any laws or infringe on any third-party rights.

6. Organization and Multi-Tenant Usage

HumanixOS operates on a multi-tenant architecture where your organization's data is logically separated from other organizations. Organization administrators are responsible for managing user access, permissions, and ensuring compliance with their organization's policies. Each organization must designate at least one owner who accepts responsibility for the organization's use of the service.

7. Funding Partner Data Sharing

HumanixOS allows organizations to link their account to a funding partner (for example, a foundation, grantmaker, or sponsor) by entering a partner code. Linking to a funding partner may provide a sponsored or modified subscription as described in your account settings.

When your organization is linked to a funding partner, that funding partner is granted ongoing access to a limited view of your organization's operational data for the duration of the link. Specifically, the funding partner can see:

  • Anonymized, aggregate information about the clients and services your organization records, such as total counts, activity over time, and aggregate demographic and geographic summaries (for example, breakdowns by city, gender, or age range). This information is presented in aggregate and does not include any individual client's personal information. Client names, contact information, addresses, dates of birth, case notes, and other individual client details are never shared with a funding partner.
  • Your organization's own contact information, including the name and email address of your organization's owner or administrator, so the funding partner can identify and contact the grantee organization.

Funding partners do not have access to your billing details, your donor or volunteer records beyond aggregate activity, or any individual client's personal information. This access continues for as long as your organization remains linked to the funding partner and ends when the link is removed.

By entering a funding partner code, you consent to this data sharing on behalf of your organization. You are responsible for ensuring you have the authority to share this information and for complying with any obligations you owe to your own clients and funders regarding their data.

8. Subscription and Payment

Access to HumanixOS requires a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide accurate billing information
  • Authorize recurring charges for subscription renewals

Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to modify pricing with reasonable notice to existing subscribers.

9. Intellectual Property

HumanixOS and its original content, features, and functionality are owned by HumanixOS and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

10. Third-Party Services

HumanixOS integrates with third-party services including but not limited to:

  • Supabase: For authentication, database hosting, and file storage
  • Stripe: For subscription and usage-based payment processing
  • PayPal: For donation payment processing
  • QuickBooks Online: For read-only accounting data synchronization
  • Anthropic (Claude): For AI-powered features such as search, data analysis, and import assistance
  • OpenAI: For generating text embeddings used in semantic search and for extracting organization details from website content
  • Resend: For transactional email delivery
  • Telnyx: For SMS messaging
  • Google: For authentication via Google OAuth, Google Calendar synchronization, and Google Forms import
  • Microsoft: For Microsoft 365 calendar synchronization

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party service providers.

11. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using HumanixOS, you consent to our collection and use of information as described in the Privacy Policy.

In particular, we do not sell individual client or student records, and we do not voluntarily disclose them to law enforcement, government agencies, or other external entities. We disclose such records only when compelled by valid legal process, and — where legally permitted — we will notify your organization before doing so. See the "Law Enforcement and Government Requests" and "Student and Sensitive Data Protection" sections of our Privacy Policy for details. Organizations handling student or other regulated data may request a Data Processing Agreement (DPA).

12. Disclaimer of Warranties

HUMANIXOS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HUMANIXOS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

14. Indemnification

You agree to defend, indemnify, and hold harmless HumanixOS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the service will immediately cease
  • You may request export of your data within 30 days
  • We may delete your data after the 30-day period

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the service shall be resolved in the courts located within the United States.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our service after revisions become effective, you agree to be bound by the revised terms.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the service, constitute the entire agreement between you and HumanixOS regarding your use of the service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.
